Terms of Service

Eligibility and accounts

You must be at least 13 years old to use AgraED. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Notify us promptly if you believe your account has been compromised.

The service

AgraED lets you organize courses and assignments, generate study plans with AI assistance, and connect third-party services such as Google Calendar and Canvas. We may add, change, or remove features at any time. We aim for high availability but do not guarantee that the service will be uninterrupted or error-free.

Your content

You keep ownership of the coursework, files, and messages you add to AgraED. You grant us a limited license to store, process, display, and transmit that content solely to operate and improve the service for you, including sending it to AI model providers to generate the plans and responses you request. You are responsible for having the rights to any content you upload.

AI-generated output

Plans, checklists, extracted due dates, and chat responses are produced by automated systems and may be incomplete or wrong. Always verify due dates, requirements, and instructions against the original assignment and your institution. AgraED does not replace your own judgment, your course materials, or your instructors, and you remain responsible for your academic work and for complying with your institution's academic integrity policies.

Connected services

When you connect Google Calendar, Canvas, or another service, you authorize AgraED to access and, where the feature requires it, modify data in that service on your behalf, as described in our Privacy Policy. For Canvas, you sign in yourself inside a remote browser session hosted by our browser automation provider, and that signed-in browser context is kept so later syncs can run. Your use of those services remains subject to their own terms. You can disconnect a service at any time from Settings.

Acceptable use

You agree not to:

• Use the service to violate any law, the rights of others, or your institution's academic integrity or acceptable use policies.
• Upload malicious code or content you do not have the right to share.
• Attempt to access accounts, systems, or data that are not yours, or probe, scan, or disrupt the service.
• Use automated means to access the service other than through interfaces we provide for that purpose.
• Resell, sublicense, or use the service to build a competing product.

Fees

AgraED is currently offered free of charge. If we introduce paid plans, we will publish pricing and give you notice before any fees apply to your account.

Termination

You may stop using AgraED at any time, and you may request deletion of your account by contacting support@agraed.com. Account deletion completes within 30 days of your request. We may suspend or terminate your access if you violate these terms, if required by law, or if we discontinue the service, in which case we will give reasonable notice where practical. Sections that by their nature should survive termination, including those on your content, disclaimers, and limitation of liability, will survive.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI output will be accurate or that the service will meet your requirements.

Limitation of liability

To the fullest extent permitted by law, AgraED and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, grades, profits, or goodwill, arising out of or related to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.

Indemnity

You agree to defend and indemnify AgraED and its operators against claims arising from your content, your use of the service, or your violation of these terms.

Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any dispute will be resolved in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Changes to these terms

We may update these terms from time to time. We will post the new version here and update the effective date. If the changes are material, we will notify you by email or in the app before they take effect. Continued use of the service after that date means you accept the updated terms.
